Identify the change the city needs to review
The city lists a change of legal entity or business owners of 50 percent or greater among changes requiring a new business license application. Location and activity changes can also require a new application.
Give the licensing team the actual transaction details. An asset sale and a partial ownership transfer may raise different questions, so do not infer the result from the purchase price alone.
Separate seller tasks from buyer approval
Agree who submits the application, who supplies supporting records and when approvals are needed. Other city departments may need to review the application before a license is issued.
Keep the seller’s closeout records and the buyer’s application in separate folders. An old license should not be treated as proof that the buyer is already approved.
Build the approval into the closing plan
Ask the city what applies to your entity, location and activity before setting a firm handoff date. Keep written confirmation with the transaction file.
This is general preparation guidance. Have the broker and legal adviser coordinate any licensing condition in the purchase agreement with the responsible city staff.
